The former Celsius mining spinout may see an activist investor seek board representation while it leans on its Nscale lease and sheds legacy mining assets

Ionic Digital may be heading into another round of boardroom tension. An activist investor may seek seats on the company’s board, according to a post on X.

Ionic Digital Inc. trades on Nasdaq under the ticker IOND. It was formed in January 2024 out of the Celsius Network bankruptcy, created to manage the crypto lender’s mining assets. Its public listing on Nasdaq began in July 2026.

Ionic’s business today revolves around a single cornerstone deal. The company leases its 234 MW site in Ward County, Texas to Nscale, a London-based AI infrastructure firm. The arrangement is a 126-month triple-net lease. The lease was signed in October 2025 and amended in February 2026. It is projected to bring in an estimated $1.9 billion to $2.6 billion over its term.

Nvidia guarantees the lease for the first five years, and the arrangement is tied to clients like Microsoft .

In Q2 2026, Ionic reported total revenue of $48.6 million. More than $43.8 million of that came from the Ward County lease, which works out to over 90% of the quarter’s revenue from one tenant at one site.

Ionic still runs limited Bitcoin mining at other locations but is divesting or repurposing those legacy mining assets in favor of the leasing model.

In May 2025, a Delaware court ruled that the board had breached its fiduciary duties. The board had reduced the number of seats up for election, a move the court found was designed to discourage a proxy contest launched by dissenting shareholders.

The dispute was settled in June 2025 through a cooperation agreement. That deal added nominees Michael Abbate and Oliver Wiener to the board, which avoided a contested vote at the July annual meeting.

Hedge fund Sachem Head Capital Management holds approximately 9.9% of Ionic. On October 20, 2026, Sachem Head publicly said Ionic’s stock could rise to $151. Shares were trading around $63 at the time.

With over 90% of Q2 2026 revenue coming from the Nscale lease, Ionic’s fortunes are tightly bound to a single tenant and a single Texas site. The Nvidia guarantee covers the first five years, but the lease runs 126 months total.

Sachem Head’s $151 target against a share price around $63 implies the fund believes the market has not fully priced in Ionic’s shift toward AI infrastructure.

What to watch next: whether the activist formally nominates directors, how the current board responds given the 2025 court ruling, and whether Ionic announces further sales of its mining assets.
